Why Non-Residents Choose a Wyoming LLC
The Wyoming LLC is the most common US entity we form for founders living outside the United States, and the reasons are unusually simple.
It costs USD 100 to file and a minimum of USD 60 a year to maintain. Wyoming has no state income tax and no franchise tax. Member names do not appear on the formation documents. Online filings are processed immediately rather than in days. There is no minimum capital, no residency requirement and no need to set foot in the United States.
For a founder selling software, running an e-commerce store, invoicing US clients or building an agency, that combination is difficult to beat. What this guide does differently is spend time on the two things that are consistently oversold or skipped: what Wyoming LLC privacy genuinely protects, and the annual report rule that dissolves companies automatically. Both matter more than the headline fee.

Can a Non-Resident Own a Wyoming LLC?
Yes, and the position is unambiguous. Wyoming imposes no residency requirement and no citizenship requirement on members or managers. You do not need a US visa, a green card, a Social Security Number or a US address of your own. One person can be the sole member and sole manager.
Owning a Wyoming LLC also confers no immigration status of any kind. It does not give you the right to work in, live in or even enter the United States. These are entirely separate systems, and anyone implying otherwise is misleading you.
The one thing Wyoming does require is a registered agent with a physical street address in the state, available during business hours to receive legal and state correspondence. A non-resident cannot serve as their own agent, because you need a Wyoming street address to do it. This is a statutory requirement rather than an upsell β a filing without an agent is rejected.
What Wyoming LLC Privacy Actually Covers
Wyoming's reputation for anonymity is the single most oversold aspect of the state, so it is worth being precise.
What is true: Wyoming does not require member or manager names on the Articles of Organization. When your LLC is formed, ownership is not published on the state register. Someone searching the Wyoming Secretary of State's database will see the company name, the registered agent and the principal office address β not you.
What is not true: that a Wyoming LLC is anonymous in any meaningful institutional sense.
Beyond the register, everyone who matters knows who you are. Your bank knows, because it completed identity verification on you. The IRS knows, because you appear as the responsible party on the EIN application and again on the Form 5472 filing. Your payment processor knows. Under US anti-money-laundering rules, financial institutions are required to identify beneficial owners.
So the accurate statement is this: a Wyoming LLC gives you privacy from casual public search. It does not give you anonymity from banks, tax authorities or regulators, and it should never be selected on the assumption that it does.

Three states dominate this decision for non-residents, and the differences are mostly about cost and reputation rather than substance.

A Delaware LLC is the structure most often sold to non-residents who do not need it: five times Wyoming's annual cost for identical federal tax treatment and no additional benefit unless a counterparty specifically requires a Delaware entity. Delaware's reputation belongs to the C-Corporation, not to its LLC.
A New Mexico LLC is genuinely cheaper β USD 50 to file and no annual report at all β but banking recognition is thinner, and some fintech platforms are slower to onboard New Mexico entities. When a Wyoming LLC Is the Wrong Choice
Most guides on this subject never reach this section, which is precisely why it belongs here.
Wyoming is also the wrong answer if you intend to raise US institutional venture capital, in which case you need a Delaware C-Corporation and converting later costs real money. It is wrong if you will have employees or physical premises in a specific US state, because you will need to register as a foreign entity there anyway and end up paying two states instead of one. And it is wrong if you hold a licence-dependent business β insurance, lending, healthcare β where the licensing state dictates the entity.
For everything else β SaaS, e-commerce, consulting, agencies, digital products, holding intellectual property β Wyoming is usually the right answer.

How to Form a Wyoming LLC as a Non-Resident
Seven steps, and the order matters β applying for banking before the EIN exists is the usual cause of delay.

EIN and Business Banking
An EIN is the company's federal tax identification number, and nothing practical happens without it β no bank account, no Stripe, no Amazon seller account.
The obstacle for non-residents is that the IRS online EIN application requires an SSN or ITIN. Without either, you cannot use it. This leads many founders to conclude, wrongly, that they need an ITIN first. You do not. The EIN belongs to the business, not to you, and Form SS-4 is submitted by fax or post with "Foreign" entered where an SSN would go. Wyoming LLC Taxes: What You Do and Do Not Save
Wyoming levies no state income tax and no franchise tax. That is real and it is permanent β the absence of income tax is written into the Wyoming Constitution rather than being a policy that could change with a budget.
What it is not is a general exemption from tax. Wyoming controls state tax only. Two other layers apply regardless:
Federal tax. A single-member LLC owned by a non-resident is a disregarded entity by default, so the LLC itself pays no federal income tax. Whether you owe US federal tax depends on whether the income is effectively connected with a US trade or business. For a founder living abroad with no US office, no US employees and services performed outside the United States, business profits commonly fall outside US federal income tax β but that is fact-specific, not automatic, and having US customers alone does not create it. Note also that adding a second member changes the classification entirely: the LLC becomes a partnership, filing Form 1065 with Schedule K-1s.
Tax at home. Your country of residence taxes you under its own rules, usually on worldwide income. A Wyoming LLC changes where you invoice from. It does not change your tax residency.

Form 5472 and Federal Compliance
This is the obligation most commonly missed by non-resident Wyoming LLC owners, usually because whoever formed the company never mentioned it.
Two further points. Reportable transactions include capital you contribute to the LLC and distributions you take out β not only trading income β so a dormant company with a single funding transfer still has something to report. And the filing is annual, so it recurs for as long as the company exists.
The Annual Report and the 60-Day Rule
Wyoming's annual report is cheap and easy. The deadline structure is what catches people.
The report is due on the first day of your LLC's anniversary month, not on a fixed calendar date. Form on 14 March and your report is due on 1 March every year thereafter. Founders who diarise "March" rather than "1 March" routinely miss it.

If the report is not filed within 60 days of the deadline, the LLC is administratively dissolved. There is no grace period beyond that and no further notice. A dissolved LLC loses its good standing, which in practice means your bank may freeze or close the account and your payment processor may suspend you β often before you have realised anything is wrong.
Reinstatement is possible but costs USD 100 plus the outstanding tax, and any period of dissolution sits on the public record. This is the strongest practical argument for having someone manage the filing rather than relying on a calendar reminder.
Wyoming LLC Cost: State Fees and Service Fees
Two separate costs, and conflating them is how founders end up feeling misled. State fees go to Wyoming. Service fees are what you pay a firm to prepare, file and maintain the company. State fees alone do not produce an operating business β you still need a registered agent, an EIN and a bank account.
