A Malta private limited company is a full EU entity with an effective tax of around 5% on trading income — 100% foreign-owned and formed remotely. We explain honestly how that 5% really works: it’s a refund system, not a headline rate.

Malta company registration is one of the EU’s most tax-efficient routes for international business — here is why founders choose it, and where the honest trade-offs lie.
Malta company registration rewards profitable, structured EU-facing businesses — and is heavier to run than a UK or Estonian company because of the audit, minimum capital and refund structuring. Here’s where it fits.
Malta company registration is especially strong in a handful of regulated and specialist sectors, each with a dedicated framework. Here is where Malta genuinely leads, and the authority that oversees it.
“5% tax in the EU” is Malta’s headline draw — and the single most misunderstood thing about it. Here is exactly how it works, and what it takes to actually get there.
There isn’t one “Malta structure” — there are four common ways to reach the effective rate, each with different cashflow, cost and complexity. CompanyVista handles Malta company registration end-to-end and models your numbers to recommend the right one.
The essentials of Malta company registration — the numbers, the local roles, and the honest fit for a non-resident forming a Malta Ltd.
Malta incorporation is straightforward on paper, but the due diligence, substance and banking deserve honest attention. CompanyVista prepares everything so filing and onboarding go cleanly.
Beyond the headline refund, here is the complete, honest tax picture for a Malta company in 2026.
Here is the honest reality most providers won’t tell you: for a non-resident without a local partner or physical presence, opening a traditional Maltese bank account is often not realistic. The route that actually works is fintech partner platforms — a core part of how we handle Malta company registration for non-residents.
Here’s the honest answer many non-residents really want: a Malta company does not automatically grant residency — but Malta offers real, EU-recognised routes, and a company can anchor your case. These are the pathways founders use most.
Malta wins on the lowest effective rate for profitable trading and on iGaming; Cyprus and Ireland are simpler for holding and substance; Estonia is leaner for reinvesting founders. CompanyVista handles Malta company registration and forms all of these alternatives too — and recommends the one that fits your goal.
If the audit, structuring or minimum capital doesn’t fit, one of these EU options may suit you better. CompanyVista forms all of them and quotes honestly across the options.
A full EU company with a ~5% effective tax on trading income — English-speaking, strong for iGaming, fintech, holding and IP, formed remotely. We quote the real all-in cost (audit and structuring included) and explain honestly how the refund actually works — and if Cyprus, Ireland or Estonia fits you better, we’ll say so before you spend anything.
CompanyVista provides end-to-end Malta company registration for non-resident founders — incorporating your private limited company with the Malta Business Registry, providing the company secretary and registered office, arranging the share capital, coordinating the mandatory annual audit and tax return, setting up the full-imputation tax refund or a fiscal unit, and assisting with the corporate bank account. Malta allows 100% foreign ownership, with no Maltese shareholder required, and the whole registration can be completed remotely through a licensed provider in about three to five weeks. A Malta company needs at least one director, a company secretary and a registered office in Malta, and a minimum share capital of €1,164.69 with 20% paid up.
Malta’s defining feature is its tax position. The headline corporate tax rate is 35%, but under Malta’s long-standing full-imputation system, shareholders can claim a refund when profits are distributed — a 6/7ths refund on trading income, giving an effective rate of about 5%, and a 5/7ths refund on passive interest and royalties, about 10%. The most important honesty point is that this is an effective rate reached through a refund and structuring, not a 5% headline rate: the company pays 35% first, and the refund reaches the shareholder only after the dividend, audited accounts and tax return, so most founders use a fiscal unit — which lets the group pay the net rate of about 5% directly — or a two-company holding-and-trading structure. Since September 2025 there is also an optional flat 15% final tax with no refunds. There is no withholding tax on dividends, interest or royalties to non-residents, a participation exemption for qualifying holdings, and an 18% VAT rate. The OECD Pillar Two 15% minimum tax applies only to groups with €750 million or more in revenue, so virtually all founder companies are unaffected in 2026.
Malta is an outstanding fit for iGaming and online-gaming operators — it is the EU’s leading gaming jurisdiction, with the Malta Gaming Authority licence recognised across Europe — as well as for holding and IP companies using the participation exemption, fintech and financial-services businesses, and shipping and aviation owners using Malta’s registries. It is a weaker fit for cost-minimisers, pre-revenue startups and very thin-margin businesses, because the minimum capital, mandatory audit and refund or fiscal-unit structuring make it heavier and more expensive to run than a UK Ltd or an Estonian OÜ; below a certain profit level the structuring cost outweighs the tax saving. The tax benefits and banking also depend on genuine Malta substance, and your home country’s controlled-foreign-company rules may still apply — all of which CompanyVista assesses honestly before you commit, pointing you to Cyprus, Ireland or Estonia when one of those fits better.
After incorporation, a Malta company must maintain its company secretary and registered office, file audited financial statements and a tax return each year, process the shareholder refund or fiscal-unit filing, submit VAT returns where registered, file the annual return with the Malta Business Registry, and maintain genuine substance. CompanyVista keeps all of this on track.
